What "Foreign" Actually Means
In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Indiana is a "foreign LLC" from Indiana's perspective. The same applies to corporations and other entity types.
Indiana Code 23-0.5-5-2 says a foreign entity may not do business in Indiana until it registers with the Secretary of State. The code never defines doing business; it lists eleven LLC activities that aren't it, among them internal meetings, keeping financial accounts, selling via independent contractors, orders accepted only outside Indiana, owning property and nothing else, a one-off deal completed within 30 days, and interstate commerce. The Department of Revenue runs its own test for tax registration, so check both if you have Indiana employees, sales, or property.
What an Indiana Registered Agent Does for a Foreign Entity

1. Order a certificate of existence. Indiana requires one from your home state, issued within the last sixty days.
2. Designate an Indiana registered agent. You can use a commercial registered agent service or appoint an individual who lives in Indiana.
3. File State Form 56369 ($105 online, $125 on paper). Indiana uses a single Foreign Registration Statement for every entity type. Filing through INBiz costs $105, and a card or e-check processing fee is added at checkout; a paper filing mailed to Room E-018 in Indianapolis costs $125. If your name doesn't work in Indiana, adopt an alternate name on the form.
4. File a business entity report every two years. The first report comes due two years after you register, in the month you registered: $32 on INBiz or $50 on paper. There's no late fee, but a foreign LLC that ignores the reminders gets revoked, and reinstatement needs a tax clearance that can take weeks.
