Indiana Registered Agent Requirements

Honest registered agent representation in Indiana for $99/year. Includes the address used on filings, same-day scanning of legal mail, and reminders for state deadlines.

Every LLC, corporation, and limited partnership registered in Indiana must continuously maintain a registered agent and a registered office in the state. That rule comes from Indiana Code chapter 23-0.5-4, the registered agent chapter of Indiana's Uniform Business Organizations Code, and it applies from the day your formation paperwork is filed until the day your entity winds down.

We provide reliable registered agent service that satisfies every requirement below while keeping your home address off the public record.

What the Statute Requires (IC 23-0.5-4)

Indiana's registered agent rules boil down to four things:

  • A physical Indiana street address. The registered office has to be a real street address in the state. PO boxes don't qualify.
  • Continuous coverage. The requirement is to maintain the agent and office continuously, so a lapse in coverage is itself a compliance problem, not just a paperwork gap.
  • Business-hours availability. Someone has to be at the registered office during regular business hours to accept service of process.
  • A filed statement when you switch. Changing agents is handled under section 23-0.5-4-6, and Indiana charges nothing for that filing.

Who Can Serve as an Indiana Registered Agent?

Either a person or a company can hold the role:

For Individuals: The agent must be at least 18 years old and a resident of Indiana.

For Business Entities: A company serving as registered agent must be authorized to conduct business in Indiana.

Indiana's Uniform Business Organizations Code sorts agents into two categories: commercial registered agents (professional services like ours that represent many entities) and noncommercial registered agents (an owner, officer, or other individual covering a single company). This is the Model Registered Agents Act framework, and Indiana follows it.

One rule trips up a lot of new owners. The state's registered agent FAQ says it plainly: "A business cannot serve as its own registered agent." Your LLC cannot list itself in the agent slot. You, as an individual owner, can serve as agent for your company; the company just can't appoint itself.

Generally, every business entity formed in or doing business in Indiana needs a registered agent:

  • Limited Liability Companies (LLCs) formed in Indiana
  • Corporations incorporated in Indiana
  • Limited Partnerships registered in Indiana
  • Out-of-state businesses authorized to do business in Indiana (foreign qualification)

Sole proprietorships and general partnerships typically don't register with the state and therefore don't need a registered agent, though many business owners choose to form an LLC or corporation for liability protection.

What the Agent Actually Handles

Your registered agent is the official channel between your business and the state. Service of process (lawsuits, subpoenas, legal summons), notices from the Indiana Secretary of State, Business Entity Report reminders, and other government mail all land at the registered office first. The agent's job is to accept those documents during business hours and get them to you quickly.

Because the agent's name and street address sit in Indiana's public entity records, whoever takes the role has their address visible to anyone who looks the company up. That visibility is one of the main reasons owners hand the job to a professional service.

Can You Be Your Own Registered Agent?

You personally can; your entity can't. Beyond that legal line, serving as your own agent comes with practical trade-offs:

Your address goes public. Whatever address you list is searchable in the state's records, which invites junk mail and solicitations to your home or office.

You're tied to the office. Someone has to be present during business hours every weekday. Travel, irregular schedules, or multiple locations make that hard to promise.

Legal papers arrive in person. Process servers show up unannounced, sometimes in front of clients, family, or employees.

No separation. Mixing official business obligations into your personal space gets old as the company grows.
